Agreement to Terms

By accessing or using alfred_ ("the Service"), you agree to be bound by these Terms of Service. If you don't agree to these terms, don't use the Service.

alfred_ is operated by Knowledge Butler, Inc., a Delaware corporation ("we", "us", "our"). The Service provides AI-assisted email, calendar, and task management through our AI assistant, alfred.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use alfred_. By using the Service, you represent that you meet these requirements.

If you're using alfred_ on behalf of a business or other entity, you represent that you have authority to bind that entity to these terms.

Your Account

To use alfred_, you must create an account. You're responsible for:

  • • Maintaining the confidentiality of your account credentials
  • • All activities that occur under your account
  • • Notifying us immediately of any unauthorized access
  • • Providing accurate account information

We may suspend or terminate your account immediately and without prior notice if we reasonably believe you have violated these terms, engaged in fraudulent activity, or pose a risk to the Service or other users.

Inactive Accounts: Accounts that have been inactive for 12 or more consecutive months may be deleted. We will send a notice to your registered email address at least 30 days before deleting an inactive account. Once deleted, your data cannot be recovered.

Connected Accounts (Email & Calendar)

alfred_ connects to third-party services (Gmail, Outlook, Google Calendar, Outlook Calendar) to provide its features. By connecting these accounts:

  • • You authorize alfred_ to access your email, calendar, and contacts data as described in our Privacy Policy
  • • You represent that you have the right to grant this access
  • • You understand that email content is processed by third-party AI services to provide features like draft generation
  • • You can disconnect these accounts at any time from Settings or through the third-party provider's settings

Third-Party Platform Terms: Your use of connected accounts remains subject to the terms of service and acceptable use policies of the respective platform providers (e.g., Google, Microsoft). You are responsible for ensuring your use of alfred_ with these connected accounts complies with those third-party terms. We are not responsible for any actions taken by third-party providers regarding your accounts.

AI Features (alfred)

alfred, alfred_'s AI assistant, uses AI to analyze email, generate draft responses, extract tasks, and create briefings. You understand and agree that:

  • AI outputs are suggestions, not guarantees. alfred may make mistakes. You are responsible for reviewing AI-generated content before taking action.
  • No automatic actions without approval. In the current version, alfred never sends emails, creates calendar events, or takes other actions without your explicit confirmation.
  • Data is processed by third-party AI. Email content and other data is sent to third-party AI services for inference processing only. Your data is not used to train AI models.
  • AI features may change. We continuously improve alfred's capabilities. Features may be added, modified, or removed.
  • No warranty on AI output. AI-generated content is provided "as is" without any warranty of accuracy, completeness, or fitness for any purpose. You assume all risk associated with using AI-generated output.
  • Evolving AI regulations. Laws governing AI are rapidly evolving. You are solely responsible for ensuring your use of AI-generated content complies with all applicable laws and regulations.
  • AI output representation. Where applicable law requires disclosure, you are responsible for indicating that content was generated or assisted by AI. You should not represent AI-generated output as solely human-created where doing so would be misleading or violate applicable law.

Beta and Preview Features

We may offer features labeled as "beta," "preview," "early access," or similar designations. These features are provided for testing and evaluation purposes and may be less reliable, less secure, or less complete than generally available features.

Beta features are provided "as is" without warranty of any kind. We may modify, suspend, or discontinue beta features at any time without notice. We have no liability arising from or related to your use of beta features. Your use of beta features is entirely at your own risk.

Acceptable Use

You agree not to use alfred_ to:

  • • Violate any applicable laws or regulations
  • • Send spam, phishing, or other unwanted communications
  • • Harass, threaten, or harm others
  • • Impersonate others or misrepresent your identity
  • • Interfere with or disrupt the Service or servers
  • • Attempt to gain unauthorized access to any systems
  • • Reverse engineer, decompile, or disassemble the Service
  • • Scrape, crawl, or use automated means to extract data or content from the Service
  • • Use the Service to build a competing product or service
  • • Use the Service for any illegal purpose

We may suspend or terminate your access immediately and without notice if we reasonably believe you've violated these terms.

Intellectual Property

alfred_, including its code, design, features, and content, is owned by Knowledge Butler, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

Your Content: You retain ownership of your emails, tasks, notes, and other content you create or import. By using alfred_, you grant us a limited license to process this content solely to provide and improve the Service. We don't claim ownership of your content.

AI-Generated Output: To the extent permitted by applicable law, we assign to you all right, title, and interest in AI-generated content produced by alfred for you (such as draft emails, task summaries, and briefings). You are solely responsible for how you use, distribute, or rely on AI-generated output.

Feedback: If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without any obligation or compensation to you.

Payment and Subscriptions

alfred_ is a paid subscription service. By subscribing:

  • Billing: Subscriptions are billed monthly or annually through Stripe, depending on the plan you select. Your payment method will be charged at the start of each billing period.
  • Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. For annual plans, we will send you a reminder email between 15 and 45 days before your annual renewal date.
  • Trials: If you sign up during a trial period, you won't be charged until the trial ends. Cancel before the trial ends to avoid charges.
  • Cancellation: You can cancel anytime from Settings. Access continues until the end of your current billing period. No partial refunds will be issued for the remaining time in your billing period.
  • Refunds: Payments are generally non-refundable, except as required by applicable law. If you believe you are entitled to a refund due to a service defect or billing error, contact us at [email protected] within 14 days of the charge.
  • Price Changes: We may change prices with 30 days notice. Continued use after a price change constitutes acceptance.
  • Failed Payments: If your payment method fails or your account becomes overdue, we may suspend access to the Service until payment is resolved. We will attempt to notify you via email before suspending your account.

Privacy and Data

Your privacy matters. Our Privacy Policy explains what data we collect, how we use it, and your rights. Key points:

  • • We access email, calendar, and contacts when you connect accounts
  • • Email content is sent to third-party AI services for processing
  • • We use third-party analytics services to improve the product
  • • We don't sell your personal data
  • • You can delete your account and data at any time

SMS and Text Messages

alfred_ may communicate with you via SMS or text messages to a phone number you provide. By providing your phone number and using SMS-based features, you consent to receiving text messages from alfred_ related to the Service. These messages may include:

  • Transactional messages: Responses to your requests, such as AI-generated replies, task summaries, and briefing updates that you initiate through the Service.
  • Reminders and notifications: If you enable SMS reminders or notifications through your account settings, you will receive automated text messages based on your configured preferences (e.g., calendar reminders, task deadlines, follow-up nudges).

Message and data rates may apply. The frequency of messages depends on your usage and settings. You are solely responsible for any charges from your mobile carrier related to text messages.

Managing SMS preferences: You can enable, disable, or adjust SMS notification settings at any time from your account settings within the alfred_ application. Disabling SMS notifications will stop all non-transactional messages. Transactional messages sent in direct response to your requests will continue as long as you use SMS-based features.

SMS messages are delivered through third-party messaging services. We are not responsible for delays or failures in message delivery caused by your mobile carrier or messaging service providers.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We don't guarantee that:

  • • The Service will be uninterrupted or error-free
  • • AI-generated content will be accurate or appropriate
  • • The Service will meet your specific requirements
  • • Any errors will be corrected

You use AI-generated drafts and suggestions at your own risk. Always review content before sending emails or taking other actions.

Regulated Industries and Compliance

alfred_ is a general-purpose productivity tool. It is not designed for or intended to be used in connection with any specific regulated industry, including but not limited to healthcare (HIPAA), financial services, legal, or government sectors.

If you choose to use alfred_ in a regulated industry, you are solely responsible for determining whether your use complies with all applicable laws, regulations, and industry standards. Knowledge Butler, Inc. makes no representations regarding the suitability of the Service for any particular regulated use case and assumes no liability for your compliance obligations.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNOWLEDGE BUTLER, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to lost profits, lost data, loss of goodwill, or business interruption, arising from or related to your use of or inability to use the Service, regardless of the theory of liability.

IN NO EVENT SHALL EITHER PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, OR TREBLE DAMAGES under these Terms, regardless of the form of action or theory of liability.

Our total aggregate liability for any and all claims arising from or related to these Terms or your use of the Service shall not exceed the total amount you paid us in the six (6) months immediately preceding the event giving rise to the claim.

Some jurisdictions don't allow these limitations, so they may not apply to you to the extent prohibited by applicable law.

Indemnification

You agree to indemnify and hold harmless Knowledge Butler, Inc., its officers, directors, employees, and agents from any claims, damages, or expenses (including attorney fees) arising from:

  • • Your use of the Service
  • • Your violation of these terms
  • • Your violation of any third-party rights
  • • Content you send through the Service

Termination

You can stop using alfred_ at any time by canceling your subscription and deleting your account from Settings.

We may suspend or terminate your access immediately and without prior notice if we reasonably believe you have violated these terms, engaged in fraudulent activity, or pose a risk to the Service, our systems, or other users. For other reasons, we will make commercially reasonable efforts to notify you before suspension or termination.

Upon termination, your right to use the Service ends immediately. No refunds will be issued for the remaining portion of your billing period. Your data will be retained for 14 days to allow reactivation, after which it will be permanently deleted in accordance with our Privacy Policy.

Changes to These Terms

We may update these terms from time to time. We will notify you of significant changes by sending an email to the address associated with your account at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms. If you do not agree with the changes, you must stop using the Service before the effective date.

Governing Law and Disputes

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Informal Resolution: Before filing any formal dispute, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 60 days. Most concerns can be resolved this way.

Binding Arbitration: If we cannot resolve a dispute informally, you and Knowledge Butler, Inc. agree to resolve any claims relating to these Terms or the Service through final and binding individual arbitration administered by National Arbitration and Mediation ("NAM") under its Comprehensive Dispute Resolution Rules and Procedures, except as modified by this section. Information about NAM's rules and fees is available at www.namadr.com.

The arbitration will be conducted by a single arbitrator, in the English language, and shall take place remotely via videoconference unless otherwise agreed. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exclusive Venue: To the extent any dispute proceeds in court (including if the arbitration provision is found unenforceable), you and Knowledge Butler, Inc. agree to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York. You waive any objection to such jurisdiction or venue, including on the grounds of inconvenient forum.

Small Claims Court: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Class Action Waiver: YOU AND KNOWLEDGE BUTLER, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall proceed in court.

Opt-Out: You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you and Knowledge Butler, Inc. may pursue claims in court subject to the other provisions of these Terms.

Filing Deadline: Any claim or cause of action arising from or related to your use of the Service or these Terms must be filed within one (1) year after the claim arose. Failure to file within this period permanently bars the claim.

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet or infrastructure outages, third-party service provider failures, cyberattacks, or labor disputes. During such events, the affected party's obligations are suspended for the duration of the event.

Notices

All legal notices from us to you will be sent to the email address associated with your account. It is your responsibility to keep your email address current. Notice is considered delivered when the email is sent to your registered address, regardless of whether it is read. You may send legal notices to us at [email protected].

Export Compliance

You may not use or access the Service if you are located in, or a resident of, any country subject to U.S. trade sanctions or embargoes, or if you are on any U.S. government restricted parties list. You represent and warrant that your use of the Service complies with all applicable export control and sanctions laws.

General Provisions

  • Entire Agreement: These terms, along with our Privacy Policy, constitute the entire agreement between you and Knowledge Butler, Inc.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Our failure to enforce any provision doesn't waive our right to enforce it later.
  • Assignment: You may not assign your rights under these terms. We may assign our rights to a successor company.
  • Electronic Communications: By using the Service, you consent to receiving communications from us electronically (via email to your registered address). You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
  • Data Backup: You are solely responsible for maintaining backups of any data you store in or transmit through the Service. We are not liable for any loss, corruption, or destruction of your data, regardless of the cause.
  • Survival: The following sections survive termination of these Terms: Intellectual Property, Limitation of Liability, Indemnification, Governing Law and Disputes, Force Majeure, Export Compliance, and General Provisions.
